Agreement to Terms

By accessing or using FlowPal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

FlowPal is operated by FlowPal ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Your continued use of the Service after any changes constitutes acceptance of those changes.

Description of Service

FlowPal is a platform that provides:

• Smart form creation and management tools
• AI-powered customer assistant capabilities
• Form response collection and analytics
• Knowledge base management for AI training
• Embeddable widgets and shareable form links

Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your account with others or create multiple accounts

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription Plans and Billing

FlowPal offers both free and paid subscription plans. By subscribing to a paid plan:

• Billing: You authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection).
• Plan Limits: Each plan has specific limits on forms, responses, and AI conversations. Exceeding these limits may result in service restrictions or automatic upgrades if enabled.
• Price Changes: We may change pricing with 30 days' notice. Your continued use after the effective date constitutes acceptance of new prices.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.
• Free Trial: If you receive a free trial, you must cancel before the trial ends to avoid being charged.

Acceptable Use

You agree to use FlowPal only for lawful purposes. You may NOT use the Service to:

• Violate any applicable laws or regulations
• Collect personal information without proper consent or in violation of privacy laws
• Send spam, phishing attempts, or unsolicited communications
• Distribute malware, viruses, or harmful code
• Impersonate others or misrepresent your affiliation
• Harass, abuse, or threaten others
• Collect sensitive personal information (health, financial, etc.) without appropriate safeguards
• Create forms or AI assistants that deceive or mislead respondents
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to compete with FlowPal or develop a competing product

Your Content and Data

Ownership

You retain ownership of all content you create or upload to FlowPal, including forms, knowledge base documents, and collected responses ("Your Content").

License Grant

You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, display, and process Your Content solely to provide and improve the Service. This license ends when you delete Your Content or close your account.

Responsibility for Content

You are solely responsible for Your Content and for ensuring you have the necessary rights and consents to use and share it. You represent that Your Content does not infringe on any third party's intellectual property or privacy rights.

Form Responses

You are the data controller for information collected through your forms. You are responsible for complying with applicable data protection laws and for providing appropriate privacy notices to your respondents.

AI Assistant Terms

When using the AI assistant feature:

• Training Data: You grant us permission to use your uploaded knowledge base content to train and operate your AI assistant.
• Accuracy: While we strive for accuracy, AI responses are based on the information you provide and may not always be correct. You should review AI interactions regularly.
• No Guarantee: We do not guarantee that the AI assistant will answer all questions correctly or appropriately for your specific use case.
• Prohibited Uses: Do not train the AI with sensitive information (medical advice, legal advice, financial advice) unless you have appropriate qualifications and disclaimers in place.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by FlowPal and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code.

Third-Party Services

FlowPal may integrate with third-party services (payment processors, AI providers, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the content, functionality, or practices of third-party services.

Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWPAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless FlowPal and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or data collected through your forms

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and Your Content
• You remain liable for any outstanding fees
• Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.

Dispute Resolution

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal action.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowPal regarding your use of the Service and supersede all prior agreements.
